Financial data rooms rarely hold these numbers, but your technology due diligence team should request and analyze them during the preliminary phase.
Hosting Cost as % of Revenue
Is the gross margin stable? Look closely at cloud infrastructure configurations. A poorly optimized multi-tenant architecture will silently leak margin as you onboard larger, data-heavy enterprise clients.
Defect Leakage Rate
What drives customer churn? Track the percentage of software bugs identified by customers in production versus those caught by internal testing. High leakage rates point to poor QA and imminent customer frustration.
Developer Onboarding Time
How dependent is the product on key individuals? Check how many days it takes for a newly hired engineer to ship their first line of live code. If onboarding takes months, the platform lacks documentation and carries immense key-person risk.
Maintenance vs. Innovation Split
Where is the R&D budget actually going? Audit what percentage of sprint capacity is spent fixing bugs and keeping the lights on versus building new value. If maintenance consumes more than 30% of engineering time, innovation is stalled.
The direct impact on your financial model
These technical metrics map directly to your post-acquisition financial models. For example, a poor Infrastructure Scaling Ratio means your projected EBITDA margins are unrealistic unless you budget immediate CapEx for a platform rewrite.
Similarly, low R&D Capital Efficiency signals that you cannot simply “sales-and-market” your way to rapid scale. You will face a heavy operational expenditure drag in engineering just to prevent the product from breaking under the weight of new users.
